1. Acceptance of Terms

By accessing or using the Orbyza website (orbyza.com) or any of our digital marketing services, you agree to be bound by these Terms of Service. If you do not agree, please discontinue use immediately.

2. Description of Services

Orbyza provides professional digital marketing services including, but not limited to:

• Search Engine Optimisation (SEO) — on-page, off-page, and technical SEO
• Pay-Per-Click (PPC) advertising management via Google Ads and Meta Ads
• Social Media Marketing (SMM) strategy and execution
• Content Marketing — creation, distribution, and strategy
• AI-powered SEO and marketing automation
• Digital marketing coaching and training

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information required for service delivery
• Provide timely access to accounts, assets, or content we need to execute campaigns
• Ensure all materials provided to Orbyza are lawfully owned or licensed
• Make payments on time as agreed in your service agreement
• Not use our services for any illegal or deceptive purposes

4. Intellectual Property

All website content, branding, and proprietary methodologies created by Orbyza remain our intellectual property unless explicitly transferred in writing. Content created for client campaigns (e.g., blog posts, ad creatives) belongs to the client upon full payment. You may not reproduce, redistribute, or resell Orbyza's methodologies or tools without written permission.

5. Payment & Refunds

Payment terms are specified in individual service agreements. General terms include:

• Invoices are due within the period stated on the invoice (typically 7–15 days)
• Late payments may incur interest charges as permitted by applicable law
• Refunds are considered on a case-by-case basis and are not guaranteed for services already rendered
• Monthly retainers must be cancelled with a minimum 30-day written notice

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. Orbyza will not disclose your business data, campaign performance, or strategies to any third party without your prior written consent, except where required by law.

7. Results & Disclaimers

Digital marketing results vary based on industry, competition, budget, and market conditions. Orbyza does not guarantee specific outcomes such as ranking positions, traffic numbers, or revenue targets. We apply proven, industry-best practices and commit to transparent, data-driven execution — but cannot control third-party platforms (e.g., Google, Meta) or algorithm changes.

8. Limitation of Liability

To the fullest extent permitted by law, Orbyza shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our aggregate liability shall not exceed the total fees paid by you in the three months preceding the claim.

9. Termination

Either party may terminate the service relationship with written notice as specified in the service agreement. Upon termination:

• All outstanding payments become immediately due
• Orbyza will provide a handover of client-owned assets and access credentials
• Any ongoing campaigns will be paused within 3 business days

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

11. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised date. Continued use of our services after changes constitutes acceptance of the updated terms.
